Terms of Service and End-User License Agreement

Thanks for your early interest in Seamside. Seamside is a project of Small Craft, Inc., a Delaware corporation ("we" or "us"), and these Terms of Service and End-User License Agreement ("Terms") are an agreement between you and us governing your use of our software and services.

Seamside is in its earliest stages and you can expect this document to change as the project opens up to more users and we continue to add functionality. You should continue to review these Terms from time to time if you are using or are interested in our software and services.

Your license to download and use Seamside is strictly conditional on your agreement to these Terms. If you do not agree to these Terms, you may not use Seamside.

Important Terms

You should review these Terms in detail as they affect your legal rights and remedies. In particular, we think it's important that you're aware of several key items discussed more fully below:

our disclaimer of warranties;
the limitation of liability; and
your indemnification obligations.

About Seamside

To fully understand these Terms, it is important you understand a little bit about Seamside. These are essential things you need to know, and they include definitions that are important for understanding the remainder of these Terms.

Spaces and Frames

Seamside runs on and between your devices and your friends' devices. In Seamside, you can make shared work environments called "Spaces." Spaces hold small, purpose-built apps that you discover or build called "Frames."

We Build the Software; You Hold the Data

Seamside is a local-first workspace: everything you make lives on your own devices and moves directly between you and the people you choose.

Your Content

Seamside and your Frames also allow you to create, store, and access all kinds of data. In these Terms, all data stored in Seamside at your direction, including your Frames and Spaces, is referred to as "Your Content."

Messages

There are two kinds of messages on Seamside:

"Direct Messages" are sent directly between users.
"Space Chat" messages are sent between all members of a Space.

"Messages" refers to both kinds of messages. Messages are encrypted in transit and at rest, and Seamside only ever makes them available to their specified recipients. Message recipients may keep Messages even after you delete them.

You Can Run Seamside Offline

Because Seamside operates on and between devices running our software, you don't need an internet connection to use it. Your devices can use Seamside to communicate and share on a local network without any connection to the internet.

You Can Run Seamside Online

Online, we provide a small amount of infrastructure-as-a-service to keep connections working - identity lookup, update checks, and relays that forward encrypted traffic when devices can't reach each other directly. These carry only the minimum needed to make the connection, never Your Content.

Most Sharing on Seamside is Private

Seamside Spaces are private, built by and for communities. You share your Spaces and Frames with just those people you choose, subject to the permissions you specify.

Some Sharing on Seamside is Public

You can share the code powering the Frames you've built with other Seamside users who might find them useful ("Frame Sharing"), and you can share the Frames you host on the public web on a Seamside URL ("Public Sharing"). When Frame Sharing and Public Sharing on Seamside use our infrastructure, we reserve the right to moderate shared content to ensure compliance with these Terms and the law.

Seamside is Not for Children

If you are under the age of 18, you may not download or use Seamside.

Seamside is Beta Software

This is a work in progress, though we're working hard to issue a full release. In the meantime, your feedback and kindness are appreciated.

Your Content Stays Yours

As a general matter, we do not need or take any right or license to any of Your Content to provide Seamside - Your Content stays yours. You only grant us a limited license to use Your Content when expressly provided in these Terms, or when a license is otherwise clearly provided or implied by Seamside's standard functionality.

Sharing Your Content

Sharing with Other Users: Sharing a Space or Frame gives the people you share it with permission to view or collaborate according to the permissions you set. You are solely responsible for your decision to share Your Content with other Seamside users and for setting appropriate permissions.
Public Sharing: When you share a Frame on the public web, your device continues to directly host the shared Frame and we do not make any copies of it. However, you grant us permission to display the shared Frame and make it available on a seamside.com URL. We are not obligated to facilitate Public Sharing, and will disable Public Sharing where the shared content is unlawful or otherwise in violation of these Terms.
Frame Sharing: Be mindful of the terms you use when sharing a Frame with other users. We recommend sharing Frames under a CC0 public domain dedication, which allows others to freely adapt and modify the code without restriction; however, you should understand that this choice is irrevocable.
Your Warranties: You warrant to us that Your Content, if made available through Frame Sharing or Public Sharing, is lawful and does not infringe the personal or proprietary rights of any person.

Using Shared Content

You understand and agree that Seamside does not evaluate or monitor, and is not responsible for, Frames, Spaces, or other content shared by third-party Seamside users. Only work in Seamside with people you trust.

Our License to You

While these Terms are in force between you and us, we grant you the limited, non-transferable right and license to use Seamside solely in a manner consistent with its intended purpose. We may terminate this license and these Terms at any time, for any reason, in our sole discretion.

Third-Party Service Providers and AI Features

Seamside supports integration with third-party service providers, including various AI models and platforms. You understand we are not responsible for your use of third-party service providers, or for the outputs, mistakes, hallucinations, security errors, or misrepresentations that may be made or introduced by any AI models. Please review the terms and policies of third-party service providers with care.

Acceptable Use

Connections in Seamside are built on invitations between people who trust each other. You're solely responsible for what you share and whom you invite. You must not use Seamside to harass others, break the law, infringe anyone's personal or proprietary rights, or distribute malicious code.

Copyright Infringement, DMCA, and Repeat Infringer Policies

We follow the notice and takedown rules of the Digital Millennium Copyright Act (or "DMCA"), 17 U.S.C. § 512.

Privacy and Your Copyright Notices

Any copyright notice or counter-notice that you send is not confidential, and your complete notice may be sent to the other party without redaction.

Submitting a Copyright Notice

We will expeditiously disable access to material that allegedly infringes copyright when we receive a copyright notice that meets the requirements of the DMCA.

To submit a copyright notice, send the information required by the DMCA to copyright@seamside.com. You can also have an authorized agent send a copyright notice on your behalf. For your reference, the required information generally includes:

a description of the work or works you claim have been infringed;
a description of the content that you claim to be infringing and the associated URL(s);
your contact information;
your statement confirming a good faith belief that use of the material in the manner complained of is not authorized by the copyright owner, its agent, or the law;
your statement confirming that the information you’ve provided is accurate, and under penalty of perjury, that you are authorized to act on behalf of the owner of an exclusive right that is allegedly infringed; and
your signature.

Our Repeat Infringer Policy

We will take action against users whom we identify as repeat infringers. We respond to repeat infringers on a case-by-case basis and will cease providing services to repeat infringers where we find that remedy appropriate. We will consider repeat infringer allegations sent to copyright@seamside.com, but any remedial action we take is at our sole discretion.

Appealing Illegal Content Notices and Moderation Decisions

You can appeal any moderation decision we make about Your Content. If you disagree with any content moderation action, please send a notice of appeal to abuse@seamside.com with an explanation of the decision taken and your grounds for appeal.

Privacy

Your Privacy

Seamside is built with your privacy in mind; however, we do collect a limited amount of personal information in connection with providing our software and services. Please review our Privacy Notice for more information on our privacy practices.

The Privacy of Others

You can use Seamside to interact with other people, and in that process, you may use your Spaces or your Frames to collect personal information about other people. You understand that you are solely responsible for any legal obligations arising out of your collection and use of others' personal information.

Disclaimer of Warranties

SEAMSIDE IS PROVIDED TO YOU ON AN "AS IS" AND "AS AVAILABLE" BASIS, WITHOUT ANY EXPRESS OR IMPLIED WARRANTIES OF ANY KIND. THAT INCLUDES ANY IMPLIED WARRANTIES OF MERCHANTABILITY, WARRANTIES OF FITNESS FOR A PARTICULAR PURPOSE, NON-INFRINGEMENT, OR ANY WARRANTY THAT THE USE OF SEAMSIDE WILL BE UNINTERRUPTED OR ERROR-FREE. REMEMBER: THIS IS BETA SOFTWARE.

Limitation of Liability

To the extent not prohibited by law, in no event shall we or our directors, managers, officers, members, employees, contractors, agents, suppliers, licensors, successors, affiliates, subsidiaries, and assigns, be liable for personal injury or any incidental, special, indirect, or consequential damages whatsoever, including, without limitation, damages for loss of profits, loss of data, business interruption, or any other commercial damages or losses, arising out of or related to your use of or inability to use Seamside, however caused, regardless of the theory of liability, and even if we have been advised of the possibility of such damages. Furthermore, we are not liable for the conduct or content, whether online or offline, of any user of our software or services. Some jurisdictions do not allow the limitation of liability for personal injury, or of incidental or consequential damages, so this limitation may not apply to you. In no event shall our total liability to you for all damages (other than as may be required by applicable law) exceed the greater of the amount you have paid us in the past twelve months or one hundred United States dollars ($100.00). The foregoing limitations will apply even if the above-stated remedy fails of its essential purpose.

Indemnification

To the fullest extent allowed by applicable law, you agree to indemnify and hold us harmless from and against any and all claims, liabilities, damages, losses, and expenses (including attorneys’ fees) arising from or in any way related to any third-party claims relating to: (a) your use of Seamside and related services; (b) your violation of these Terms; or (c) Your Content.

General Terms

Disputes; Governing Law; Venue. These Terms shall be governed by the laws of the State of Delaware, without regard to conflict-of-law principles. The courts located in New Castle County, Delaware shall have exclusive jurisdiction over any dispute between you and us concerning these Terms. You agree that the venue of these courts is proper and submit to their jurisdiction, waiving any claim that such a proceeding has been brought in an inconvenient forum or that the venue of that proceeding is improper.

Feedback. Any feedback, ideas, or suggestions that you provide to us is entirely voluntary, and you agree that we may use and incorporate your feedback, ideas, and suggestions at our discretion and without compensation or obligation to you.

Accessibility. We want Seamside, our website, and our services to be broadly accessible. If you encounter any accessibility difficulties, please email us at hello@seamside.com.

No Waiver. Our failure to enforce any of these Terms in any one instance shall not be deemed a waiver of the unenforced term.

Survival. All provisions of these Terms which must survive termination in order to reasonably achieve their intended effect shall survive termination.

Severability. If any provision of these Terms is found unenforceable, the remainder of these Terms shall be interpreted so as to give effect to the original intent of these Terms to the greatest extent possible and shall otherwise continue in full force and effect.

Assignment. We reserve the right to assign our rights and responsibilities under these Terms at our discretion. Your rights and responsibilities under these Terms may not be assigned without our prior written consent.

Entire Agreement. These Terms are the entire agreement between you and us, superseding and canceling any prior agreement with respect to its subject matter.
